Regarding Ajax, the AFM investigated the club's role in the proposed appointment process and the suspension of Kroes, in relation to the applicable requirements concerning insider information. The AFM also investigated Alex Kroes regarding alleged insider trading during the period of his nomination.
The AFM classified the information that Ajax's Supervisory Board (RvC) intended to nominate Kroes as Chief Executive Officer of Ajax in the summer of 2023 as insider information.
The supervisory authority qualified the conversation between the AFM and Ajax as 'norm-informing', during which the AFM stated that it had not established any violation. However, the AFM expects Ajax to tighten its current and future practices concerning the handling of insider information. The club informed the AFM that it has significantly improved its internal processes related to the handling of insider information since the aforementioned events and brought them in line with applicable laws and regulations.
The AFM established that Kroes acted with insider information and issued a warning to him. The current Director of Football at Ajax, the AFM concluded, should have been more diligent in the summer of 2023 in complying with the laws and regulations concerning insider information.
Ajax and Kroes attach great importance to the fact that both investigations have been concluded and consider both matters settled following the discussions with the AFM.
